UXBRIDGE -- Xerox's board of directors yesterday promoted Armando Zagalo de Lima, president of Xerox Europe, to corporate senior vice president. In addition, Xerox executives John M. Kelly and Sophie V. Vandebroek were elected corporate vice presidents.

Zagalo de Lima, 47, joined Xerox in Portugal in 1983 and has held a variety of management positions, including general manager of Xerox Belgium, general manager of Xerox's Southern European entity, and chief operating officer of Xerox Europe. In his current role as president of Xerox Europe, Zagalo de Lima is responsible for leading the company's sales and marketing operations in about 20 countries. He was named a corporate vice president in July 2000.

Kelly, 45, joined Xerox in 2004 as senior vice president and chief operating officer of Xerox Global Services. Prior to Xerox, he held leadership positions at NEC including chief executive officer of its U.S. consulting subsidiary, and with Cap Gemini's consulting business as managing director of North America and senior vice president of its European operations.

Vandebroek, 44, became the company's chief technology officer and president of the Xerox Innovation Group on January 1. Prior to this appointment, she was the company's chief engineer and head of the Xerox Engineering Centre. Over the past 13 years, Vandebroek has held a succession of technology positions at Xerox, including director of the Xerox Research Centre of Canada and technical advisor to Xerox's executive team.

These corporate officer appointments are effective immediately.

In other board actions today, a dividend of $1.5625 per share was declared on outstanding 6.25 percent Series C mandatory convertible preferred stock. The dividends will be paid April 1 to shareholders of record as of March 10.
